DigitProject is not directly involved in the actual transactions of the buyers and sellers and hence DigitProject doesn't have control over the efficiency factors like quality of the product or the service, timely deliveries, costing matters and the legal aspects of such transactions.

DigitProject cannot confirm the identity, legal status, background, or efficiency of the users of this site and hence, we suggest very sincerely to exercise your own fair judgment while dealing with any of the users of this site. Since DigitProject helps the Service Providers to find the buyers or the associated buyers for their services or the products, DigitProject is accepted to be the official finder for each project that's bagged/closed through this mediating site and charges a transaction fee. Though DigitProject helps in finding leads and confirmed projects, never guarantees the same.

The correspondence with the vendors, buyers, sellers of products concerning the usability, efficiency, the quality, the price and any terms and conditions take place between the users of the site and you agree, being the user of the site, that DigitProject is not held liable for any direct or indirect loss or damage caused during the period of transaction or after the transaction.

DigitProject doesn't guarantee the accuracy of the content posted by the users as to their qualifications, financial standing, quality certifications and that DigitProject doesn't stand guarantee for the third party professionals in certifying such credentials.

DigitProject allows you to post your information (text and data) on this site for other users to act upon or respond. You are not allowed to post logos, seals, slogans or any conspicuous caption that relates to the identity of the posting entity unless DigitProject expressly allows you to use such logos of DigitProject partners. You are not permitted to post any information that solicits users' information. You are not allowed to give a link to the site unless DigitProject permits it. You are accepting the clause of ownership of the text, files, software rights, distribution rights, royalty rights or they being granted to you to post in this site.

By posting the text content, files, software, you agree that you have the ownership of such documents/content or have legally acquired the dealership/distributorship/royalty rights for the same.
You should use your fair judgement before making any of your text/data or comments available on this site as any offended party may take legal action over your objectionable or defamatory comments, including DigitProject for which you will be solely responsible. DigitProject doesn't all the time, monitor or observe the content of the individual users and cannot vouch for the reliability or the accuracy as such.

In case, DigitProject in its own fair judgement or viewed to be objectionable or considers that a particular content is not in the interests of the users of this site, may delete the same with due notice to the owner of such content.
You are, as a policy matter, restricted from giving out your email IDs, telephone numbers, URL and any other such contact information to the other party for this deal/project till a deal is closed between you and the other user of DigitProject.

You agree to provide DigitProject in the registration form, the updated, most accurate and truthful information. At anytime during the membership period, does DigitProject come to know that the facts vary from your stated information, your membership will be cancelled and all the information that you posted earlier would be deleted.

Anyone accessing this site with your Username and password is construed to be "you" and abuse of the same will be entirely your responsibility. Hence, please ensure that your username and password are kept most confidential.

We will use commercially reasonable methods to keep Personally Identifiable Information securely in our files and systems, in compliance with Italian Law 675/1996 (referring to the protection of privacy and the treatment of personal data), any personal information you submit will be treated in accordance with the principle of just use, legality and transparency, and with full respect for your privacy and other rights. Our Registration System is operated using secure Internet connections, using SSL (Secure Sockets Layer) encryption, to help protect your data. Please note that with current technology, we cannot guarantee the security of your data as it travels over the Internet.

DigitProject displays the feedback and rating system for the benefit of its users. Users are, at will, to express their opinion which goes uncensored. DigitProject doesn't check the credibility of the statements made as such and we alert you to be careful while expressing such opinions or ratings about the other users of the site.
We strongly encourage you to be truthful and honest in such expressions as it forms the material content at the time of awarding the projects. It's possible that any aggrieved party may take the recourse of legal means to square up the issues. You agree that you will not intentionally blackmail the other users for any consideration of any kind.

At the same time, DigitProject doesn't encourage Feedback solicitation by the other users that would unduly place them in an advantageous situation in this site. If you notice any of such Feedback violations, please report the same in detail at Violation Reporting. You agree that you will not post any feedback that is targeted to elicit the other user's mail ids or phone numbers or subsequently soliciting business relationship or any form of contacting the Site users

You also agree that you are not to use any profane language or any other that would incite the feelings of the other user or otherwise cause damage to the reputation of this site. You are allowed to refer the projects that have been engaged through DigitProject and not from other source to post your feedback on this site. Any steep deviations may kindly be reported to Violation Reports.
You understand and agree that under no circumstances, DigitProject is responsible or liable for any such feedback mentioned in this web site.

You hereby agree not to post the following content:

Adult content, content that talks cheaply about another user of the site. Any content that directly or indirectly tries to indicate the other user to contact directly outside. You agree not to post any content that reveals your email ID, phone numbers or your URL or IP address that forms the material basis to track your identity.

Once, a bid is accepted, the buyer and seller may through the private message boards exchange their identities, which are allowed by DigitProject. Any violations to these principles may kindly be reported to Violation Reports.

Genuinely attempt to bid for a project. Submit a bid that is realistic and never try to float a bid unnecessarily just for your trail purposes. This will affect the other users/bidders adversely. Any of such unethical/careless bidders will be barred from bidding future projects.

You will be using the private message boards to communicate with the buyer and do not try to communicate with the buyer outside of DigitProject. Your response to the buyer on the private message boards should be quick enough. Any steep deviations may kindly be reported to: Violation Reports.

By using this site, as a User, you agree not to post your advertisement for recruitment. You will not post the projects that you firmly know are not going to be awarded. You will not post the projects whereby you intend to receive kickbacks from the Service Providers.

Adult content projects are not to be posted. You will never try to misuse the space provided in this site for posting of projects. DigitProject reserves the right to delete any content that's inappropriate and if need be delete the whole content, that in DigitProject's fair opinion, is detrimental to the site.

In the best interests of DigitProject for maintaining fair business practices, we have created a cell that would accept any complaints or suggestions about deviations from the normal path by users.
Any user following an unfair practice that would cause any damage to the reputation of DigitProject or to its User community, will be appropriately alerted and in this pursuit, DigitProject urges all its users to accept this policing responsibility, though on our part, we take our precautionary measures to see that DigitProject maintains the reputation of being a fair player in the market. Any violations, experienced, kindly report to: Violation Reports.

At DigitProject, we have a separate cell to investigate any irregularities that are perpetrated by the Users, in order to maintain clean atmosphere in the site. This cell attends to the reports received through the Violation Reports. This division ensures that in this site fair practices are followed by the User community and facilitate the buyers to accurately post their projects to find the most suitable service providers and to get their projects done within the stipulated costs, in the given time frame and to the utmost satisfaction when it comes to the quality factor.
When contacted by our Investigations team, users are advised to respond within 48 hours to arrive at a solution to the problem, if any. Above all, this cell tries to maintain that the user community understands and implements, in principle, the terms and conditions as envisaged by DigitProject in this site.

You agree, being a buyer to be financially responsible for the goods and services that you receive from the service providers or sellers. You agree that you follow the guidelines in posting a project for a formal bidding and that you will finalize the value of the project after the discussions with the Service Provider through the Private Message Board (PMB). Once, you agree on the final scope of the project and the corrected value of the project, the same may be notified to DigitProject to arrive at the final transaction fee to the Service Provider.

The Service Provider after being awarded the project impliedly admits that he has to provide the subject services to the Buyer within the budgeted cost, on the accepted time frame and with the quality satisfaction to the Buyer.

Service Providers have to route their invoices, for the services rendered to the Buyer, through DigitProject Invoice channel. You agree, by using this site, that you bill the Buyer through DigitProject Invoicing channel and that the Buyer doesn't have the obligation to honor the invoices once they are directly sent for payment. Your invoices related to the ad hoc expenses or the 3rd party software costs or any reimbursable fees could be directly billed to the Buyer and the Buyer may directly settle such invoices.

Users of DigitProject site are not allowed to involve themselves into the following activities that mean to circumvent our stated fees and considered to be a violation of the user Agreement:

Offering services directly to the Buyer and not through DigitProject. Any understanding between buyer and the seller to defraud DigitProject and manipulating the project cost.

Knowingly not reporting the changed bid values through DigitProject.

Any agreement to conduct future transactions bypassing DigitProject within the 12 (twelve) month period after you complete the first project with that specific buyer– all constitute the violation of user agreement.

Excluding the other recourse that DigitProject can opt for: we may issue a warning or temporarily suspend your membership. If you breach on any terms and conditions of this user agreement incorporated herein within the site, we may discontinue our services to you or to your other accounts with different names.
Once we cancel your membership, you may no longer have access to the data, messages, files and other material that you keep on the site. The whole material may be deleted along with all your previous posts and bids for which we will not be responsible.

You will be liable to DigitProject to the extent of the fees circumvented and a penalty of upto 12% (twelve percent) of all the projects circumvented at the sole discretion of DigitProject. We will seek the legal recourse to recover the damages suffered due to the repeated breach of our User Agreement.
Once DigitProject terminates your membership due to the violation/breach of the User Agreement, we reserve the right to refuse membership in future.

It is deemed that you have received a notice of any sort, once we post the same on the site and that you agree to check the site for any of the notices. You also agree to authorize DigitProject to send notices to you through electronic mail (the id that you register with us).

You will maintain at your registered office, the records pertaining to the project for a particular buyer after accepting each project. You will maintain exhaustive records that lead to determining the project scope, the bid amount and the payment terms and the delivery schedules to track the payment transactions that will enable DigitProject to determine the Transaction fee due to DigitProject.

DigitProject reserves the right to inspect the entire records to determine whether full fees have been paid to DigitProject and that you will provide the copies of the same.
You will pay the transaction fee difference if any, when disclosed by the audit by DigitProject staff with an interest of 12% per annum for the period that the fee was underpaid. Should we come to know that the fee variation is more than 10% (the fee determined by DigitProject and the fee paid by you), you will be paying the audit costs of DigitProject. Vice Versa, if the fee variation is less than 10%, audit fee will be borne by DigitProject.

DigitProject furnishes the images, logos, trademarks of different partners, users etc. Such images, trademarks, pictures, diagrams and other text materials are not to be reproduced, sold, distributed, modified, used for creation of other contents based upon this content without the written consent of DigitProject or the owners of the subject property.
Unless the owner of the software permits it in writing, or the developer or the laws permit, you are not to use this data for commercial purposes. DigitProject may terminate the accounts or cancel the membership, if it is found that the rules and regulations of this site are not followed.

At DigitProject, we respect the intellectual property rights of others and make it a mandatory principle to follow suit.

DigitProject contains links to other web sites and resources. You are acknowledging that DigitProject is not responsible or liable for such contents or materials. DigitProject does not endorse the links and their consequent sites that emanate from this site.

DigitProject or any party involved in creating, producing or delivering this site is not liable for any damages, delays or consequential losses suffered as a result of using this site. Some of the jurisdictions do not allow the exclusion of "no liability" for consequential or incidental damages; we declare that, under no circumstances the liability of DigitProject exceeds Euro 5,000.

DigitProject doesn't assume the responsibility or liability relating to the problems of completion, delayed submission, quality standards, cost overruns or timely payments for the services posted/undertaken through DigitProject. Any problems as such, should be directed to the parties themselves and DigitProject tries to help out (without liability on its part) the affected parties with mediation and in case the dispute is not settled, refer to the arbitration bureau accepted by both the parties.

We, at DigitProject strive to provide you with a convenient and workable site, but at the same time, can't vouch that it will be bug free or that it is free from any viruses or harmful effects. We request you sincerely to maintain backup copies of all the information/data that pertains to you or to your transactions in this site. We further state that everything furnished in this site is on an "As Is" basis without any responsibility or obligation on our part.

DigitProject assumes no responsibility for this site (and its content) that it will meet the users' requirements or expectations that it would be error free and that it is uninterrupted, timely and secure. DigitProject assumes no responsibility as to the works obtained or entered into through the use of site for the quality, costing and the other factors. No advice or information, whether oral or written received by the User from third parties, shall create any obligation to DigitProject, not expressly made herein.

Hereby you agree to indemnify and hold harmless DigitProject, its officers, directors, employees, agents and partners, from and against any claims, actions or demands including without limitation, reasonable legal and administrative fees claimed by any third party, resulting from your use of this site or the site content, any claims against DigitProject for mediocre performance of projects posted on the site, or due to your violation of this User agreement.

This User Agreement is between you and DigitProject and that you do not have the permission to transfer assign or delegate this user agreement to anyone without the written permission by DigitProject. Any act of transferring this user agreement will make this user agreement null and void. This User Agreement, using this site as a registered member would not confer any right of relationship of Principal/Agent, employer/employee, partnership, franchise or joint venture between any other users and DigitProject.

Any and all questions of enforceability and interpretation, which may arise under this Agreement, shall be determined and governed by and in accordance with the laws of Italy and specifically in the Milan Court of Justice (Italy). Any dispute, controversy or claim, arising out of or relating to this Agreement, or the breach, termination or invalidity thereof, shall be settled by Arbitration, pursuant to the Commercial Rules of the International Chamber of Commerce. The decision by Arbitrators shall be final and conclusive and binding upon the parties. Judgement upon any award rendered may be entered in any court having jurisdiction thereof or application may be made to such court for a judicial acceptance of the award and an order of enforcement, as the case may be, the parties shall abide. Any dispute you may have with respect to this Site must be initiated within three months after it arises, else, it's deemed invalid.

From time to time DigitProject updates the Privacy Agreement as per the current requirements and the changes in the working concepts. Whenever, we update this Privacy Agreement, we post a special notice in the "My Market Place" that this privacy Agreement has been changed. The changes if any so updated become effective from the date they are posted.

Your continued use of this site/services after the changes to the Private Agreement is posted, indicates that you have read and understood the policy changes. We will not be using your personal identifiable information for any other purposes than the business that it is intended for and in case, we are going to use the same for any other purpose, we will inform you in advance and you have the right to approve or disapprove the same.

The Subscription fee to DigitProject is always free for the Buyer.

For the Service Provider is free for the first six months starting from 12th February 2003 to 12th August 2003.

At the end of the six free months period you'll be free if to interrupt or to extend the Subscription paying the following fees.

Starting from the 12th August 2003 the Subscription fee for Service Provider will be:

Project Section Registration fee:
   monthly fee: 50 euro
   semester fee: 180 euro (40% off)
   yearly fee: 300 euro (50% off)

Product Section Registration fee:
   monthly fee: 50 euro
   semester fee: 180 euro (40% off)
   yearly fee: 300 euro (50% off)

A Transaction fee of 5.5% (five point five) is due from the Service Provider and once the Buyer accepts a particular bid and the value determined DigitProject raises an invoice on the service Provider and the same is to be paid by the Service Provider within 45 days.

If the payment is not received within the stipulated period, DigitProject will have the right to stop the Service provider from receiving the payment from the buyer and further barred to bid for any other projects till the recovery of the pending invoice. If this tendency repeats for 3 times, the membership will be terminated and DigitProject will not be liable for the consequences there upon.

Should there be any disputes emanating from out of the non performance or non payment of the invoices to the service provider, the buyer and the seller will not obligate DigitProject in any manner and the issue is between the two parties only. By the same token, none of the parties can obstruct DigitProject from taking any action toward resolving the issue.

DigitProject on its own discretion may refuse the services to any party, should it be discovered that, it's not in the interest of standard business principles of DigitProject. Standard Business Principles imply the ethical business practices, following the business norms, avoiding the fraud or fake activities.

DigitProject can rightfully seek reimbursement of any amounts from the Service providers, if it's discovered that excess amount has been paid to the service provider by mistake on the part of the buyer and reimburse the same to the buyer at the earliest and take legal action, if needed to accomplish such a job.

DigitProject provides WorkSpace for the Buyers and the Service Providers.
It aids both the parties to communicate and exchange information once the bid is accepted. This WorkSpace is not meant for any other purpose than to exchange the information between the two parties involved. DigitProject reserves the right to monitor WorkSpace areas, should it believe, in good faith that the user is violating the User Agreement clause that is agreed to.

At the time of registration, you are allowed to set up your personal profile that covers your qualifications and experience in the relevant category. Potential buyers like to look into your personal profile to decide upon your eligibility for awarding the project and hence, it's recommended that you fill in the personal profile for your own benefit.
Not to be misunderstood: you agree that you are not to mention your personal contact information-like e-mail id, phone numbers, in your profile as this amounts to the violation of the User Agreement.

DigitProject strives to continuously improve the quality of services that we offer and we invite your comments on the functioning of the site or any improvements that you may like to suggest. You find the "Contact form" at our Contact us page of this site that would enable you to post your comment.
We ask for your email id or User Id and the related information. This information is gathered only to ensure that you are acknowledged of the comment that you have posted. You can also send in your comments by emailing our customer service.

DigitProject, will not divulge any of your personal data to any third party. When warranted by the legal authorities, we are constrained to provide your personal information for which we assume no responsibility or legal obligation from your end.

Posting or transmitting any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane, or indecent information of any kind, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offense, would give rise to civil liability or otherwise constitute violation of any local, state, national or international laws.

Post or transmit any information, software or other material which violates or infringes upon the rights of others, including material which is an invasion of privacy or publicity rights or which is protected by copyright, trademark or other proprietary right, or derivative works with respect thereto, without first obtaining permission from the owner or rights holder is a violation of user agreement. Post or transmit any information, software or other material, which contains a virus or other harmful component, is a violation of user agreement.
Post, transmit, or in any way exploit any information, software or other material for commercial purposes, or which contains advertising, is a violation of user agreement.
You understand that DigitProject has no obligation to monitor the bulletin boards. However, DigitProject reserves the right at all times to disclose any information as necessary to satisfy the law, regulation, or government request, or to edit, refuse to post, or to remove any information or materials, in whole or in part, that in DigitProject's sole discretion are objectionable or in violation of these terms and conditions.

Under no circumstances, including, but not limited to, negligence, shall DigitProject, its parent companies or affiliates be liable for any direct, indirect, incidental, special or consequential damages that result from the use of, or the inability to use, DigitProject postings/services/recommendations. You specifically acknowledge and agree that DigitProject is not liable for any defamatory, offensive or illegal conduct of any user. If you are dissatisfied with any DigitProject postings/services or with any of DigitProject's terms and conditions, you are encouraged to write to the Customer Service.

This agreement shall be governed by and construed in accordance with the Italian laws, without giving effect to any principles or conflicts of law. If any provision of this agreement shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.
